Constitution

1. Title
The full title of the Association shall be The International Kiteboarding Class Association, a non profit sports organisation under the International Sailing Federation (ISAF).

2. Objects
The objects of the IKA are to promote and further the interests of the Kiteboarding Class throughout the world including:
a) To co-ordinate and manage the affairs of the class
b) To represent the interests of their owners and their national class associations at ISAF
c) To encourage and co-ordinate national and international competition in the class.

3. Headquarters
The headquarters of the Association shall be determined by the Committee to be most convenient to meet the Committee Executive Secretary requirements. The official language shall be English.

4. Membership
a) FULL MEMBERSHIP shall upon payment of the prescribed annual subscription be open to any National Kiteboarding Class Association, or national federations and associations controlling the class activity in their country.
b) CORPORATE MEMBERSHIP shall upon payment of the prescribed annual subscription be open to any board builder, kite maker and other equipment manufacturer interested in the Kiteboarding class.
c) ASSOCIATED MEMBERSHIPS shall be open to any individual or legal entity interested or involved in kiteboarding
d) INDIVIDUAL MEMBERSHIPS shall upon payment of the prescribed annual subscription be open to any individual, provided that there is no full member governing the class activities in the country of the individual member.

5. Subscriptions
a) FULL MEMBERS - The annual subscription shall be decided from time to time at a General Assembly of the Association. It shall be payable on the 1st January each year. A member who has not paid his annual fees will not be entitled to any rights or privileges of membership.
b) OTHER MEMBERS - The annual subscription shall be decided from time to time at a General meeting of the Association. It shall be payable on the 1st January each year.
c) DEFAULTERS - Members whose subscriptions are outstanding on the 1st March shall not be eligible to take part in any Championships held under the direction of the Association.

6. Management
The International Kiteboarding Class consists of the Executive Committee and the General Assembly. The class may form additional sub-committees as required.

a) Executive Committee
i. The Executive Committee is responsible for the technical management of the class and all matters not delegated to other bodies by the general assembly. The Executive Committee represents the Kiteboarding Class to all national and International organizations and event organizers.
ii. The Executive Committee shall consist of the following: Chairman, Vice Chairman, Executive Secretary, Treasurer if necessary, and additional committee members without title. The total number of committee members shall be seven.
iii. The Committee may work with additional individuals with special knowledge and abilities, but these persons shall have no vote.
iv. The Committee, except the Chairman and the Executive Secretary, shall retire bi-annually at the AGM but shall be eligible for re-election. The Chairman and the Executive Secretary shall be elected for a period of four years but shall be eligible for re-election.
v. Any elected member of the Committee other than the Chairman and the Executive Secretary may nominate an alternate member who can attend Committee Meetings in his absence.
vi. The Committee shall have the power to fill any vacancy occurring on the Committee or the Officers of the Association except that of the Chairman, until the appointment is confirmed at the next AGM.
vii. Each Committee member shall have one vote. Decisions shall be reached by a simple majority, and in the event of an equality of votes the Chairman shall have an additional vote.
viii. Commercial Tour operators shall be not eligible to vote, but may be consulted as advisors.
ix. 3 members shall form a quorum.
x. Fourteen days’ notice of Committee Meetings must be given to all Committee members. The notice of the meeting shall include an agenda. Meetings and Ballots may be held through conference calls or through any other suitable virtual method.
xi. The funds of the Association shall be kept in a manner approved by the Committee.

b) General Assembly
i. The General Assembly shall be the authoritative body of the class which will devolve such general administrative and/or executive power to the Executive Committee it deems relevant.
ii. The AGM of the IKA shall be held at a suitable International Championship each year, open to any full member and the members of the Executive Committee, to conduct class business, the date, time and place being at the Executive Committee’s discretion.
iii. Every full member and every Executive Committee Member has one vote.
iv. 35% of the full members shall form a quorum (including Executive Committee members, proxy and postal votes)
v. Business at the AGM shall comprise:
a) Previous Minutes
b) Chairmans Report
c) Executive Secretary’s Report
d) Financial Statement
e) Elections
f) Any other matters including Class Rules
vi. Elections. All nominations must be made in writing to the Executive Secretary, with the agreement of the nominee. Nominations must be with the Executive Secretary not less than two weeks prior to the meeting. Candidates who are unable to attend the Election Meeting must signify their willingness to stand in writing to the Secretary prior to the meeting.
vii. Each full members delegate or committee member has one vote, but may represent other member associations or committee members from whom he or she has received a proxy. Every full member delegate or committee member can have, at the most, 3 votes: his and 2 proxies. Any proxies shall be in writing and shall be handed to the Executive secretary or Class Chairman prior to the meeting. The names of the members authorising and authorised shall be declared at the beginning of the meeting.
viii. A Special General Meeting shall be called by the Executive Secretary at such time as the Committee may resolve.
ix. Notice of any meetings shall be given not less than four weeks prior to the meeting, any topics to be voted on shall be posted on the class website not less than fourteen days prior to the meeting.
x. At any General Meeting decisions shall be by simple majority except on matters concerning the International Kiteboarding Class Constitution and her Class Rules. Alterations or amendments to the Constitution as well as to the Class Rules must be carried by simple two-thirds majority vote.
xi. Voting to be by show of hands unless a poll is demanded by not fewer than three of the members present. In the event of an equality of votes the Chairman shall have an additional vote.

c) Sub-Committees
i. Consultative sub-committees shall contain at least one member of the executive committee
ii. Consultative sub-committees may be established by the General Assembly
iii. Consultative sub-committees shall report to the General Assembly
iv. Consultative sub-committees shall be established for a definite or indefinite period

7. Championship
The IKA shall arrange World and Continental Championships of the class as may be required. The IKA Committee may delegate the organisation and running of such championships. Full members shall arrange national championships.

8. Notice of Meetings and Votes
a) Notice of meetings or ballot papers shall be deemed to be served if emailed (and/or placed at IKA Website) to the last known address of the member.
b) Non-receipt of notices or ballot papers by members, or postal votes by the auditors shall not invalidate the proceeding of meetings, or the result of a postal ballot.

9. Constitution
This constitution may only be amended by motion of an Annual General Meeting as provided in Article 6.B.
